By creating an account, purchasing a plan, or using the Service, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 13, or the age of digital consent in your location, and able to form a binding contract. If you use the Service on behalf of a company or artist, you represent that you have authority to bind that company or artist.

You are responsible for your account, passwords, and all activity. Keep your information accurate and up to date. Do not share login credentials or attempt to access accounts that are not yours.

1. Plans. Starter and Pro plans are described on our Pricing page. Plan limits include video counts per project, active Fan Drops, and storage duration.
    
2. Billing. You authorize NewFans and our payment processor to charge your payment method on a recurring basis until you cancel. Fees are in USD unless stated otherwise and are nonrefundable except where required by law.
    
3. Trials, coupons, credits. Trials, coupons, and credits are promotional. We may modify or end them at any time.
    
4. Cancellation. Cancel in the app to stop future charges. Your plan remains active until the end of the current billing period.
    
5. Downgrades and upgrades. Changing plans updates limits on your next billing cycle or immediately if stated in the UI.
    

We may enable “demo mode” or mark certain accounts as staff. Demo or staff accounts may bypass paywalls for testing and demos. Demo mode may watermark outputs or limit concurrency. Demo and staff access can be withdrawn at any time.

1. Your content. You own the audio, images, lyrics, logos, and other materials you upload (“User Content”).
    
2. License to NewFans. You grant NewFans a nonexclusive, worldwide license to host, process, transcode, render, and display User Content only to operate the Service and provide your requested outputs. This license ends when your content is deleted from our systems, subject to reasonable backup retention.
    
3. Your promises. You represent that you have all rights needed to use the User Content with the Service, including lyrics and artwork, and that your content does not infringe any third party rights.
    

1. Ownership. Fans who sign up on your Drop pages are your audience. You own the fan list.
    
2. Access. You can export fan data to CSV anytime while your account is in good standing.
    
3. Compliance. You must use fan data in compliance with applicable laws, including privacy, consumer protection, anti-spam, and messaging rules in the regions where fans live.
    
4. Roles. For fan data, you are the data controller. NewFans acts as your processor to provide the Service. See our Privacy Policy and DPA (if provided) for details.
    

1. Consent. If you send SMS or MMS, you must collect the fan’s consent. The Drop form includes a consent checkbox. Do not message fans who did not consent.
    
2. Opt out. You must honor STOP and similar opt-out keywords promptly.
    
3. Rates and carriers. Message and data rates may apply. Delivery and timing are not guaranteed.
    
4. Restrictions. Do not send unlawful, harmful, or deceptive messages. Carrier guidelines may change without notice.
    

1. Rendering. The Service renders lyric videos based on your inputs. You are responsible for the correctness of captions, timing, and brand settings.
    
2. Storage duration. Outputs are stored for a limited time based on plan. Starter stores for 30 days. Pro stores for 60 days.
    
3. Downloads. Files are served through signed URLs that expire after a short period for security. Keep your own backups.
    

You agree not to:

1. Violate any law or infringe any intellectual property or privacy right.
    
2. Upload or generate content that is illegal, hateful, deceptive, or pornographic, or that promotes violence.
    
3. Attempt to probe, scan, or test the vulnerability of the Service.
    
4. Interfere with or disrupt servers or networks.
    
5. Circumvent plan limits, storage limits, or rate limits.
    

The Service may rely on third-party services like storage providers, payment processors, analytics, email, SMS, and rendering infrastructure. Your use of those services may be subject to their terms.

If you believe content on the Service infringes your copyright, send a notice to [DMCA email or agent info], including:

1. Your contact info.
    
2. Identification of the copyrighted work.
    
3. The URL or description of the infringing material.
    
4. A statement under penalty of perjury that you are authorized and that the use is not authorized.
    
5. Your signature.
   Upon valid notice, we may remove or disable access to the material and notify the user.

We may modify, suspend, or discontinue features at any time. We try to notify you of material changes that affect your paid plan.

We may update these Terms from time to time. If changes are material, we will notify you by email or in-app notice. Continued use after the effective date means you accept the changes.

We may suspend or terminate your access if you violate these Terms or risk harm to the Service or others. You may terminate at any time by canceling your plan and discontinuing use.

The Service is provided “as is.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and noninfringement. Rendering speed, availability, and delivery of messages are not guaranteed.

To the fullest extent permitted by law, NewFans and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability for any claim will not exceed the amount you paid to NewFans in the 3 months before the event giving rise to the claim.

You will defend and indemnify NewFans against claims, damages, liabilities, and expenses arising from your User Content, your messaging activities, your use of the Service in violation of these Terms, or your violation of any law or third party right.

These Terms are governed by the laws of [State or Country], without regard to conflict of law principles. Courts located in [County, State] will have exclusive jurisdiction.

You are responsible for compliance with local laws where you use the Service. Some features may not be available in all regions.

We may offer beta or experimental features. They are provided as is and may change or end at any time.

We may provide notices by email, in-app messages, or by posting on the Service. You should keep your email current.

If any provision is unenforceable, the rest remain in effect. These Terms are the entire agreement between you and NewFans regarding the Service and supersede prior agreements. No waiver is effective unless in writing.

A. Data Processing Addendum (summary)
If you handle EU or UK data, attach a DPA with SCCs. Clarify roles: you are controller for fan data, NewFans is processor. Include purpose, duration, security measures, and subprocessor list.

B. SMS Program Terms (short form for Drop pages)

• By providing your phone number and pressing submit, you agree to receive automated promotional and transactional messages from [Artist Name] delivered by NewFans.

1. Agreement
   These Terms govern your use of NewFans and NewFans Pro. By creating an account or using the service you agree to these Terms and to the Privacy Policy.
    
2. Who we are
   NewFans and NewFans Pro are operated by 1M Marketing LLC. The service helps independent artists sell music drops, merch, events, and fan offers to fans.
    
3. Eligibility and accounts
   You must be at least 13 years old. You are responsible for your account and for keeping your password secure. Provide accurate information. You may act as an Artist, a Fan, or both.
    
4. Creators and Stripe Connect
   Artists who sell through the service must complete Stripe Connect onboarding. Payouts go to the Stripe account you control. You authorize NewFans to create products, prices, and checkout sessions for your drops and to receive platform fees as shown in the app. Stripe handles payment processing and card data.
    
5. Fan purchases and licenses
   Fans purchase access to digital content or event access. Unless stated otherwise each purchase is a personal, non transferable license. Fans may not redistribute, resell, or publicly perform purchased content without permission from the creator.
    
6. Merch fulfillment
   When a drop includes merch, a fulfillment vendor such as Printful may ship on your behalf. Shipping times, taxes, customs, and returns are the creator’s responsibility. NewFans is a platform and does not manufacture goods.
    
7. Refunds and disputes
   Creators set refund rules subject to applicable law. Chargebacks are handled by Stripe and may result in fees. NewFans may suspend accounts for excessive disputes or suspected fraud.
    
8. Messaging and email
   Creators may send email and SMS through their own ConvertKit and Twilio or SuperPhone accounts. Creators must follow consent rules, anti spam laws, and carrier rules. NewFans may limit or suspend messaging for abuse or high complaint rates.
    
9. AI features
   AI agents can create goals, tasks, offers, content, and messages. Outputs can contain errors or bias. Review all outputs before publishing or sending. You are responsible for your use of AI features and for the content you publish.
    
10. Content ownership and license
    Creators keep ownership of their content. By uploading content you grant NewFans a limited license to host, process, display, and deliver the content to fans as needed to operate the service. Fans receive a personal license to access purchased content. No resale or public performance unless the creator grants it.
     
11. User conduct
    You agree not to
    • Violate law or the rights of others
    • Upload unlawful, hateful, or infringing content
    • Attempt to bypass paywalls or access content without payment
    • Interfere with the service or its security
    • Use the service to send spam or illegal messages
     
12. Moderation and reporting
    NewFans may remove content or suspend accounts that violate these Terms or the content guidelines. Users can report content with the Report button. NewFans may notify involved users about actions taken.
     
13. Fees and taxes
    Platform fees and payment processing fees are shown in the app. Creators are responsible for taxes on sales. Stripe may withhold or remit amounts as required by law.
     
14. NFC and special links
    NFC codes and special links route users to drop pages or offers. Creators must ensure each code maps to the correct content. Do not share codes that grant access without permission from the creator.
     
15. Third party services and keys
    The service integrates with Stripe, Printful, ConvertKit, Twilio or SuperPhone, OpenAI, Bubble, and Firebase. Each has its own terms and privacy rules. Creators control their own keys and are responsible for use of those services. Removing keys in settings stops future data sharing for that integration.

    Provide your contact info, the work claimed to be infringed, the specific content location, a good faith statement, and a statement under penalty of perjury that you are authorized to act. We may notify the uploader and allow a counter notice as the law allows.
     
17. Beta features
    We may release beta features for testing. Beta features are provided as is and may change or end at any time.
     
18. Disclaimer of warranties
    The service is provided as is and as available. We disclaim all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non infringement.
     
19. Limitation of liability
    To the fullest extent permitted by law NewFans and its affiliates are not liable for lost profits, lost data, or any indirect, incidental, or consequential damages. Our total liability for any claim will not exceed the amount you paid to NewFans in the twelve months before the event that gave rise to the claim.
     
20. Indemnification
    You agree to indemnify and hold harmless 1M Marketing LLC and its affiliates from claims and costs that arise from your content, your use of the service, or your violation of these Terms or of law.
     
21. Termination
    You may stop using the service at any time. We may suspend or end the service or your account if you violate these Terms, create risk, or cause legal exposure for others.
     
22. Governing law and venue
    These Terms are governed by the laws of New Jersey USA. The state or federal courts in Essex County New Jersey will be the exclusive venue for disputes unless a different venue is required by law.
     
23. Changes to these Terms
    We may update these Terms. We will post updates in the app and update the effective date. Continued use of the service after changes means you accept the changes.
